Clear and Fair Use of Our Services

1.1 What You Get

We offer a cloud-based AI platform (the "Service") including software and related materials (collectively, "Our Materials"). You may configure and upload your own data ("User Submissions"). You retain ownership of your submissions; we retain all rights in Our Materials and the underlying code.

1.2 Access & Use

During your paid term ("Subscription Period"), you may let authorized users within your organization access the Service solely for internal business purposes. No third-party resale or sublicensing.

1.3 Permissions

You control all user roles and permissions. We have no obligation to manage those settings — any misconfiguration is your responsibility.

2.1 Account Responsibility

You are responsible for maintaining the confidentiality of your account credentials. You're responsible for all activity under your account. Keep credentials secure and ensure compliance by your users.

2.2 Prohibited Acts

You agree not to engage in any illegal, unauthorized, or abusive activities on our platform. This includes but is not limited to spamming, hacking, and violating intellectual property rights.

Do not:

• Reverse-engineer or copy our code
• Remove proprietary notices
• Abuse or overload the Service
• Use it to build a competing product
• Violate laws or third-party rights

If your actions threaten our platform's stability or security, we may suspend your access.

3. Third-Party Integrations

We may integrate with third-party tools ("Integrations"). You choose and configure them at your own risk and under their separate terms — we disclaim all liability for those services.

4.1 Fees

You agree to pay the subscription charges in your Order. All fees are non-cancelable and non-refundable unless otherwise stated.

4.2 Billing

We bill via credit card or ACH through our payment processor. Keep your payment info current. We may retry failed payments.

4.3 Taxes

You're responsible for all sales, VAT, or other taxes. We will collect them where required unless you provide valid exemption documentation.

4.4 Late Payment

Overdue amounts may incur suspension of service. Dispute billing within 60 days or waive your right to challenge.

5.1 Term

Your subscription begins on the start date in your Order and runs for the specified period. Absent timely cancellation, it renews under the same terms.

5.2 Termination for Cause

Either party may end this Agreement if the other breaches a material obligation and fails to cure within 30 days' notice.

5.3 Effects of Termination

Upon valid termination, your access ends. We'll delete your data upon request within 30 days, except as legally required or for inactive free accounts. You remain responsible for any unpaid fees.

6. Warranties & Disclaimers

You warrant your submissions comply with laws.

Disclaimer: The Service is provided "AS-IS." We disclaim all implied warranties, including merchantability and fitness for a particular purpose. We do not guarantee the accuracy, reliability, or suitability of our services for your specific needs.

7. Liability Cap

Our total liability is capped at the fees you paid in the 12 months before a claim. We are not liable for indirect, incidental, or consequential damages.

8. Confidentiality

Each party will protect the other's confidential information with at least reasonable care and use it only to perform under this Agreement. Required disclosures (e.g. by law) are permitted with notice.

9. Data Rights

Your Data: You own your User Submissions; we process it to deliver the Service. Read more in our Privacy Policy.

Service Analytics: We may collect and use anonymized usage data.

10. Indemnification

You agree to indemnify and hold harmless Auroo, its affiliates, and employees from any claims, damages, or liabilities arising from your use of our platform or violation of these terms.

11. General Provisions

• Publicity: We may display your name/logo with your consent.
• Force Majeure: Neither party is liable for delays beyond its control.
• Amendments: We may update these terms with 30 days' notice. Continued use constitutes acceptance.
• Independent Contractors: No partnership or agency is created.
• Governing Law: Manitoba, Canada law applies, venue in Winnipeg, Manitoba, Canada. Jury trial waived.
• Entire Agreement: This document plus your Order is the full agreement.

12. Changes to Terms

We reserve the right to update or modify these terms at any time. We will notify you of any changes by posting the revised terms on our platform.
